Hong Kong's core "regime" is its territorial source principle of taxation for profits tax. In broad terms, profits tax is only charged on profits that arise in or are derived from Hong Kong. If a business is carried on in Hong Kong but derives profits from another place, the profits are generally not taxed in Hong Kong.
The IRD's published guidance stresses that sourcing is a practical matter of fact and that the correct approach is to identify the operations that produced the profits and determine where those operations took place. In a classic trading fact pattern, the location where purchase and sale contracts are effected is often a central factor, but the totality of profit-producing operations can matter.
A major post-2020 development is the Foreign-sourced Income Exemption (FSIE) regime for specified foreign-sourced passive income (including foreign dividends, interest, and certain disposal gains) received in Hong Kong by an MNE group entity. The FSIE rules can deem specified foreign-sourced income to be Hong Kong-sourced and taxable unless exception requirements such as economic substance or participation exemption are satisfied.
In practice, Hong Kong works best for taxpayers who can align real operations, people, and contracting flows with the intended source outcome and who can maintain records that withstand IRD review. Treat "offshore" as a technical conclusion based on facts, not as an automatic entitlement.
